Welcome to Emprise Photography ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, products, digital photography purchases, and photography services.

By accessing our website, purchasing digital photographs, booking photography services, or otherwise engaging with our business, you agree to these Terms.

1. Services

We provide:

  • Digital photography products for purchase and download.
  • Professional photography sessions, including but not limited to portraits, events, commercial photography, and lifestyle photography.
  • Related photography products and services as described on our website or in client agreements.

We reserve the right to modify, discontinue, or update our services at any time.

2. Eligibility

You must be at least 18 years old to purchase products or book services. If you are under 18, a parent or legal guardian must enter into the agreement on your behalf.

3. Bookings and Payments

Photography Sessions

A booking is not confirmed until:

  1. We receive any required deposit; and
  2. We send written confirmation.

Payment

  • Prices are listed in U.S. dollars unless otherwise stated.
  • Full payment may be required before delivery of photographs.
  • We reserve the right to refuse or cancel orders for any reason.

Deposits

Deposits are non-refundable unless otherwise stated in writing.

4. Cancellations and Rescheduling

Client Cancellation

If you cancel a photography session:

  • More than 14 days before the session: deposit may be applied to a future booking within 6 months.
  • Within 14 days of the session: deposit may be forfeited.
  • Within 48 hours of the session: additional cancellation fees may apply.

Rescheduling

Rescheduling requests are subject to availability.

Photographer Cancellation

If we must cancel due to illness, emergency, unsafe conditions, or circumstances beyond our control, we may:

  • Reschedule the session; or
  • Refund payments received, excluding any non-recoverable third-party expenses.

5. Weather and Force Majeure

Outdoor sessions may be rescheduled due to weather conditions deemed unsuitable by us.

We are not liable for delays, cancellations, or failures caused by events beyond our reasonable control, including:

  • Natural disasters
  • Severe weather
  • Government actions
  • Strikes
  • Power outages
  • Public health emergencies
  • Venue restrictions

6. Digital Photograph Purchases

License Grant

Unless otherwise agreed in writing, the purchase of digital photographs grants you a limited, non-exclusive, non-transferable license to:

  • Download and store the purchased images.
  • Display the images for personal use.
  • Print the images for personal use.

You may not:

  • Resell the images.
  • License the images to third parties.
  • Claim authorship.
  • Remove copyright notices.
  • Use the images for commercial purposes without written permission.

Commercial Licensing

Commercial use requires a separate written license agreement.

7. Copyright and Ownership

All photographs, images, edits, designs, and related materials remain the exclusive intellectual property of the Company.

Copyright ownership is not transferred through the purchase of products or services unless explicitly stated in a separate written agreement.

All rights not expressly granted are reserved.

8. Client Content and Permissions

You represent that you have all necessary rights and permissions for:

  • Locations you provide access to.
  • Props, products, artwork, trademarks, or materials included in the photography session.
  • Individuals participating in the session.

You agree to indemnify us for claims arising from your failure to obtain necessary permissions.

9. Model Release

Unless otherwise agreed in writing, you grant us permission to use photographs from your session for:

  • Portfolio displays
  • Website galleries
  • Social media marketing
  • Advertising and promotional materials
  • Photography competitions and publications

If you wish to opt out, you must notify us in writing before the session begins. Additional fees may apply for privacy restrictions.

10. Delivery of Images

Delivery Time

Estimated delivery timelines are provided as estimates only and are not guaranteed.

Editing Style

You acknowledge that:

  • You have reviewed our portfolio.
  • Editing decisions are made at our artistic discretion.
  • RAW files are not included unless specifically agreed in writing.

Image Selection

We reserve the right to select which images are delivered.

11. Archiving and Storage

We are not obligated to retain photographs or session files after delivery.

Clients are responsible for creating backup copies of delivered images.

12. Refund Policy

Digital Products

Because digital photographs are immediately accessible and cannot be returned, all digital product sales are final and non-refundable except where required by law.

Photography Services

Refunds for photography services are determined according to the cancellation policy and applicable law.

Dissatisfaction based solely on artistic style consistent with our portfolio does not constitute grounds for a refund.

13. Client Conduct

We reserve the right to terminate a session without refund if a client or participant:

  • Acts abusively or threateningly.
  • Creates unsafe conditions.
  • Violates venue rules or applicable laws.
  • Requests illegal or inappropriate content.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by the client for the relevant service or product.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages.
  • We are not liable for lost profits, lost business opportunities, emotional distress, or data loss.

15. Disclaimer of Warranties

Services and products are provided "as is" and "as available."

We make no warranties, express or implied, regarding:

  • Availability of services
  • Uninterrupted access
  • Suitability for a particular purpose
  • Error-free operation

16. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its owners, employees, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of our services.
  • Your breach of these Terms.
  • Your violation of applicable laws or third-party rights.

17. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

19. Dispute Resolution

Before filing legal action, the parties agree to attempt to resolve disputes through good-faith negotiations.

Any unresolved dispute shall be submitted to the state or federal courts located in Orange County, CA, and the parties' consent to the jurisdiction of those courts.

20. Changes to These Terms

We may update these Terms at any time. Updated versions will be posted on our website with a revised effective date.

Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
